Welcome to Agents Chef. These Terms of Service ("Terms") govern your access to and use of the website located at www.agentschef.com (the "Website") and all services provided by Agents Chef ("we," "us," or "our"), including custom AI agent development, workflow automation, consulting, and related technology services (collectively, the "Services").
By accessing our Website or engaging our Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must not use our Website or Services.
1. Definitions
- "AI Agent" means any autonomous or semi-autonomous software system developed by Agents Chef on behalf of the Client, including but not limited to customer support agents, lead qualification agents, document processing agents, workflow automation agents, and multi-agent orchestration systems.
- "Deliverables" means all AI agents, code, configurations, documentation, knowledge bases, dashboards, reports, and other materials produced by Agents Chef as part of a project engagement.
- "Project" means a specific scope of work agreed upon between Agents Chef and the Client, as defined in a project proposal, statement of work, or order form.
- "Client Data" means all data, content, information, and materials provided by the Client to Agents Chef for the purpose of developing, training, configuring, or operating AI Agents.
- "Platform" means the Agents Chef website, dashboard, APIs, SDKs, and any other software tools provided by Agents Chef to the Client.
2. Services
2.1 Scope of Services
Agents Chef provides custom AI agent development and intelligent automation services. The specific scope, deliverables, timeline, and fees for each project are defined in a separate project proposal or statement of work mutually agreed upon by both parties before work begins.
Our Services may include but are not limited to: AI agent design, development, and deployment; workflow analysis and automation; knowledge base and RAG system creation; integration with third-party tools and APIs; ongoing monitoring, optimization, and support; and AI audit and strategy consulting.
2.2 Free AI Audit
We offer a free 30-minute AI audit consultation. This consultation is provided without obligation and is intended to assess your automation opportunities and recommend appropriate solutions. The audit does not constitute a binding agreement for further services, and no deliverables are produced during the audit beyond verbal or written recommendations.
2.3 Service Modifications
If, during the course of a project, the Client requests changes to the agreed scope of work, Agents Chef will provide a written estimate of the additional time and cost required. No scope changes will be implemented until both parties agree in writing to the revised scope and fees.
3. Client Responsibilities
To enable Agents Chef to deliver the Services effectively, the Client agrees to:
- Provide Accurate Information: Supply all necessary business information, data, access credentials, and materials required for the project in a timely manner.
- Designate a Point of Contact: Appoint a single authorized representative who has the authority to provide approvals, make decisions, and communicate requirements on behalf of the Client.
- Timely Feedback: Review deliverables and provide feedback within the timeframes agreed upon in the project proposal. Delays in Client feedback may result in corresponding delays in project timelines.
- Legal Compliance: Ensure that all Client Data provided to Agents Chef is owned by the Client or that the Client has obtained all necessary rights, licenses, and consents to share such data for the purposes of the project.
- Appropriate Use: Use the AI Agents and Deliverables in compliance with all applicable laws, regulations, and industry standards. The Client is responsible for ensuring that the deployment and operation of AI Agents within their business complies with relevant data protection, consumer protection, and industry-specific regulations.
- Security Credentials: Maintain the security of all account credentials, API keys, and access tokens provided by or created during the project. The Client is responsible for any actions taken using their credentials.
4. Payment Terms
4.1 Fees
All fees for Services are as specified in the project proposal or statement of work. Unless otherwise stated, all fees are quoted in United States Dollars (USD). Prices listed on our Website are indicative and may vary based on the specific requirements of your project.
4.2 Payment Schedule
For Starter plans, full payment is due before project commencement. For Growth and Professional plans, payment is structured as 50% upfront before work begins and 50% upon delivery of the completed project. Enterprise plans follow a milestone-based payment schedule as defined in the statement of work. Monthly retainer fees are billed at the beginning of each monthly billing cycle.
4.3 Late Payments
If payment is not received within 15 days of the due date, Agents Chef reserves the right to pause all work on the project until payment is received, charge a late fee of 1.5% per month on the outstanding balance, and suspend access to any hosted AI Agents or dashboards.
4.4 Refund Policy
Due to the custom nature of our Services, refunds are handled on a case-by-case basis. If Agents Chef fails to deliver the agreed-upon Deliverables within a reasonable timeframe (accounting for any Client-caused delays), the Client may request a partial or full refund of fees paid for undelivered work. Refund requests must be submitted in writing within 30 days of the project completion date.
4.5 Taxes
All fees are exclusive of applicable taxes, including but not limited to GST (Goods and Services Tax), VAT (Value Added Tax), sales tax, and withholding tax. The Client is responsible for paying all applicable taxes, or providing Agents Chef with a valid tax exemption certificate.
5. Intellectual Property
5.1 Client Ownership of Deliverables
Upon full payment of all project fees, the Client owns all rights, title, and interest in the custom Deliverables created specifically for their project, including custom AI agent code and configurations, custom integrations built for the Client, knowledge base content created from Client Data, custom dashboards and analytics interfaces, and project-specific documentation.
5.2 Agents Chef Retained Rights
Agents Chef retains ownership of all pre-existing intellectual property, including proprietary frameworks, templates, libraries, tools, and methodologies developed by Agents Chef independently of the Client project. Agents Chef also retains the right to use general knowledge, skills, techniques, and experience gained during the project for future engagements, provided that no Client confidential information is disclosed.
5.3 Third-Party Components
AI Agents may incorporate third-party software, APIs, and services (such as AI model providers, cloud infrastructure, and open-source libraries). These components remain subject to their respective licenses and terms of service. Agents Chef will disclose all material third-party dependencies used in the Deliverables.
5.4 Portfolio and Case Study Rights
Unless the Client explicitly opts out in writing, Agents Chef may reference the Client's company name and a general description of the project in our portfolio, case studies, and marketing materials. Agents Chef will not disclose confidential business data, proprietary processes, or sensitive metrics without the Client's prior written consent.
6. Confidentiality
6.1 Definition
"Confidential Information" means any non-public information disclosed by either party to the other in connection with the Services, including but not limited to business strategies, customer data, technical specifications, pricing information, trade secrets, and proprietary methodologies.
6.2 Obligations
Both parties agree to: maintain the confidentiality of all Confidential Information received from the other party; use Confidential Information solely for the purposes of performing or receiving the Services; not disclose Confidential Information to any third party without the disclosing party's prior written consent, except to employees, contractors, or agents who need to know such information and are bound by confidentiality obligations at least as protective as these Terms; and take reasonable measures to protect the confidentiality of the information, using at least the same degree of care used to protect their own confidential information.
6.3 Exceptions
Confidentiality obligations do not apply to information that: is or becomes publicly available without breach of these Terms; was known to the receiving party prior to disclosure; is independently developed by the receiving party without use of Confidential Information; or is required to be disclosed by law, regulation, or court order, provided that the receiving party gives reasonable prior notice to the disclosing party.
6.4 Duration
Confidentiality obligations survive the termination or expiration of these Terms for a period of 3 years, except for trade secrets, which shall be protected for as long as they remain trade secrets.
7. AI-Specific Terms
7.1 AI Model Limitations
AI Agents are built using large language models and other AI technologies that are inherently probabilistic. While Agents Chef designs and tests all AI Agents to perform reliably, we cannot guarantee that AI-generated outputs will be 100% accurate, complete, or error-free in every instance. The Client acknowledges that AI Agents should be deployed with appropriate human oversight for critical or high-stakes decisions.
7.2 Data Usage for AI Agents
Client Data provided for AI Agent development is used exclusively for building, configuring, and operating the Client's specific AI Agents. Client Data is never used to train or improve Agents Chef's internal models, third-party AI models, or AI Agents built for other clients. For additional details, please refer to our Privacy Policy.
7.3 Responsible AI
Agents Chef follows responsible AI practices aligned with the Google Cloud Responsible AI framework. We design AI Agents to be transparent (clients understand how agents make decisions), fair (we test for bias and work to mitigate discriminatory outputs), safe (we implement guardrails, fallback mechanisms, and escalation protocols), and accountable (all agent actions are logged and auditable). The Client agrees not to use AI Agents for purposes that violate applicable laws, infringe on the rights of others, or cause harm.
7.4 AI Performance and SLAs
For Professional and Enterprise plans that include an SLA guarantee, uptime and performance metrics are defined in the project proposal. Agents Chef will use commercially reasonable efforts to meet the agreed SLA targets. In the event that SLA targets are not met due to factors within Agents Chef's control, remedies will be as specified in the applicable SLA addendum.
8. Website Terms of Use
8.1 Permitted Use
You may access and use our Website for lawful purposes only. You agree not to: use the Website in any way that violates applicable laws or regulations; attempt to gain unauthorized access to any part of the Website or its related systems; use the Website to transmit any harmful, offensive, or infringing content; reproduce, duplicate, copy, sell, or exploit any portion of the Website without our express written permission; use automated tools (scrapers, bots) to access the Website without our prior consent; or interfere with or disrupt the integrity or performance of the Website.
8.2 Website Content
All content on the Website, including text, graphics, logos, images, code examples, and documentation, is the property of Agents Chef or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works from our Website content without our prior written permission, except for reasonable personal or internal business reference use.
8.3 User-Generated Content
If you submit content to our Website (such as blog comments, contact form submissions, or testimonials), you grant Agents Chef a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content in connection with our business operations. You represent that you own or have the necessary rights to submit such content.
9. Warranties and Disclaimers
9.1 Service Warranty
Agents Chef warrants that: Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards; Deliverables will materially conform to the specifications agreed upon in the project proposal; and we will use commercially reasonable efforts to ensure that AI Agents function as described during the post-launch support period.
9.2 Warranty Remedies
If the Client identifies a material defect in the Deliverables during the applicable post-launch support period (30, 60, or 90 days depending on the plan), Agents Chef will, at its option, repair the defect, replace the defective component, or refund the fees attributable to the defective portion of the Deliverables.
9.3 Disclaimer
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN SECTION 9.1, THE SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AGENTS CHEF SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
Agents Chef does not warrant or guarantee any specific business outcomes, revenue increases, cost savings, or other results from the use of AI Agents. Any performance metrics, ROI estimates, or benchmarks shared on our Website, in proposals, or during consultations are based on industry data and past project experience and are provided as reasonable estimates, not guarantees.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTS CHEF, ITS FOUNDER, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY.
AGENTS CHEF'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY PROJECT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THE CLIENT TO AGENTS CHEF FOR THE SPECIFIC PROJECT GIVING RISE TO THE CLAIM DURING THE 12 MONTHS PRECEDING THE DATE THE CLAIM AROSE.
These limitations apply regardless of whether Agents Chef has been advised of the possibility of such damages. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Agents Chef, its founder, employees, and contractors from and against any third-party claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: the Client's use of the AI Agents or Deliverables; the Client's breach of these Terms; the Client's violation of applicable laws or regulations; the Client's infringement of any third-party rights; or Client Data that infringes the intellectual property, privacy, or other rights of any third party.
12. Term and Termination
12.1 Term
These Terms are effective from the date you first access our Website or engage our Services and remain in effect until terminated. Project-specific timelines and retainer periods are as defined in the applicable project proposal or statement of work.
12.2 Termination by Client
The Client may terminate a project engagement at any time by providing written notice to Agents Chef. In the event of Client-initiated termination: fees for work completed up to the termination date are non-refundable; any Deliverables completed and paid for will be delivered to the Client; and if termination occurs mid-project, the Client will be invoiced for work completed but not yet billed at the applicable hourly or milestone rate.
12.3 Termination by Agents Chef
Agents Chef may terminate a project engagement or suspend Services if: the Client fails to make payment within 30 days of the due date; the Client materially breaches these Terms and fails to remedy the breach within 15 days of written notice; or continuing the engagement would require Agents Chef to violate applicable laws or ethical standards.
12.4 Effects of Termination
Upon termination: both parties will return or destroy the other party's Confidential Information; the Client retains ownership of all Deliverables for which full payment has been made; Agents Chef will provide reasonable assistance to transition AI Agents to the Client's control or a new provider; and Sections 5 (Intellectual Property), 6 (Confidentiality), 9.3 (Disclaimer), 10 (Limitation of Liability), 11 (Indemnification), and 14 (Governing Law) survive termination.
13. Third-Party Services
The Services may require or integrate with third-party services, including but not limited to AI model providers (Anthropic, OpenAI, Google, Meta), cloud hosting providers (Vercel, AWS, Google Cloud, Azure), communication platforms (Slack, email providers), CRM and business tools (Salesforce, HubSpot, Notion), and payment processors.
These third-party services are governed by their own terms of service and privacy policies. Agents Chef is not responsible for the availability, performance, or practices of third-party services. The Client acknowledges that changes to third-party services (including pricing changes, API modifications, or service discontinuations) may affect the functionality or cost of AI Agents, and Agents Chef will work with the Client to address such changes but cannot be held liable for them.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
14.2 Dispute Resolution
In the event of any dispute arising out of or relating to these Terms, the parties agree to first attempt to resolve the dispute through good-faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, the parties agree to submit the dispute to binding arbitration administered in accordance with the Arbitration and Conciliation Act, 1996 of India. The arbitration shall be conducted in Udaipur, Rajasthan, India, and the language of arbitration shall be English.
14.3 Jurisdiction
For any matters not subject to arbitration, the courts located in Udaipur, Rajasthan, India shall have exclusive jurisdiction. Each party consents to the personal jurisdiction of such courts.
15. General Provisions
15.1 Entire Agreement
These Terms, together with any project proposals, statements of work, or order forms, constitute the entire agreement between the parties regarding the subject matter hereof and supersede all prior agreements, representations, and understandings.
15.2 Amendments
Agents Chef reserves the right to update these Terms at any time. Material changes will be communicated by updating the "Last Updated" date at the top of this page and, where appropriate, by email notification. Continued use of the Website or Services after such changes constitutes acceptance of the updated Terms.
15.3 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
15.4 Waiver
The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
15.5 Assignment
The Client may not assign or transfer these Terms or any rights or obligations hereunder without Agents Chef's prior written consent. Agents Chef may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
15.6 Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, wars, terrorism, labor disputes, power failures, internet outages, or failures of third-party service providers.
15.7 Notices
All notices under these Terms shall be in writing and sent to the email addresses provided by each party. Notices to Agents Chef should be sent to legal@agentschef.com.
15.8 Relationship of Parties
Agents Chef is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.
